Reporting violations (whistleblowing)
Legislative Decree No. 231/2001 was amended by Legislative Decree No. 24/2023 (the so-called "Whistleblowing Decree"), introducing new provisions for the protection of persons who report irregularities of which they have become aware in the context of an employment or contractual relationship.
In particular, the Whistleblowing Decree requires private-sector companies that have employed, during the previous year, an average of at least 50 employees (whether under permanent or fixed-term contracts) to establish internal reporting channels for violations of Legislative Decree No. 231/2001, as well as for unlawful conduct falling within the scope of European Union or national legislation (including legislation implementing European Union law) relating to the areas specified in the Whistleblowing Decree (e.g. public procurement, prevention of money laundering and terrorist financing, product safety and compliance, consumer protection, protection of privacy and personal data, and security of network and information systems, etc.); acts or omissions constituting fraud (or other illegal activities) affecting the financial interests of the European Union; acts or omissions relating to the internal market of the European Union (e.g. violations of competition and State aid rules, etc.); and acts or conduct which, in any event, defeat the object or purpose of European Union legislation in the aforementioned areas.
In compliance with the applicable legal provisions and with a view to ensuring integrity and transparency in the conduct of its business activities, the FBH Group has implemented a digital "Whistleblowing" system, including for FBH Group companies with fewer than 50 employees, available to anyone wishing to report the aforementioned circumstances relevant to the Model 231.
For further information, please refer to the Model 231, Legislative Decree No. 231/2001 and the Whistleblowing Decree. CHARACTERISTICS OF REPORTS
Reports must relate exclusively to breaches of the Model 231, including the Code of Ethics and internal procedures, as well as to the violations and unlawful conduct described above. Accordingly, reports concerning complaints, personal requests or, more generally, circumstances that are not relevant for the purposes of the Model 231 will be rejected.
Reports must be submitted in good faith, be sufficiently detailed and be based on precise and consistent factual evidence, also in order to preserve the effectiveness of the reporting mechanism made available to you. Anyone who submits reports that subsequently prove to be unfounded, either intentionally or through gross negligence, may be subject to the disciplinary sanctions provided for under the Model 231.
MANAGEMENT OF REPORTS
In order to ensure the highest level of protection for both the "reporting person" and the "person concerned", the necessary security measures have been adopted. Regardless of whether the reporting person chooses to submit a report anonymously or otherwise, the confidentiality of the reporting person's identity and the content of the report is ensured through secure protocols and encryption tools designed to protect personal data and the information provided.
The identity of the reporting person shall never be disclosed without their consent, except in the cases provided for by applicable law.
The body responsible for managing reports is the Audit Committee, appointed by FBH S.p.A. in compliance with Legislative Decree No. 231/2001.
